Creator Agreement

1. Overview & Agreement Scope

This Creator Agreement ("Agreement") sets forth the terms and conditions governing your participation as an independent content creator ("Creator," "you," or "your") on the Kandid platform, operated by Kandid Technologies, Inc. ("Kandid," "we," or "us").

Kandid is designed to eliminate the unfair practices common in the creator economy: delayed payments, net-90 invoices, excessive agency cuts, and uncompensated revision loops. By creating an account or accepting a campaign brief on Kandid, you agree to these fair-play terms.

The Kandid Creator Bill of Rights:

  • Guaranteed Escrow: You never start filming until 100% of your payment is locked in escrow.
  • 0% Fee Launch Offer: You keep 100% of your earnings on your first 2 completed campaigns.
  • Clear Revision Caps: No endless revision requests; standard deals include a maximum of 2 reasonable reviews.
  • Your IP, Your Persona: You retain ownership of your copyright and personal brand.

2. 0% Fee Guarantee & Pricing Model

We believe creators should keep what they earn. While traditional talent agencies take 20% to 40% of creator earnings, Kandid operates on a transparent, creator-first fee structure:

First 2 Deals: 0% Platform Fee

For your first two (2) completed and approved brand collaborations on Kandid, the platform fee is 0.0%. You keep 100% of the brand's agreed payout.

Subsequent Deals: Flat 5%

After your first two deals, Kandid charges an industry-lowest flat 5% platform fee (you keep 95%). No monthly membership costs, listing fees, or invoice processing deductions.

3. 100% Escrow Protection & Payouts

Every brand campaign accepted on Kandid is 100% protected by upfront escrow funding:

How Escrow Protects Creators

Brands must deposit 100% of the agreed compensation before you are asked to begin filming or content production. You will see a verified "Escrow Funded" badge on your campaign workspace before each deal starts.

  • Automatic Approval Window: Once you submit final deliverables, the Brand has five (5) business days to review the submission. If the Brand fails to provide feedback within this window, the submission is automatically approved.
  • Fast Disbursements: Approved escrow funds are released to your connected Stripe account or bank account within 24 to 48 hours. No net-60 or net-90 payment delays.
  • No Scope Creep Without Extra Pay: If a brand requests additional deliverables not included in the original brief (e.g. extra videos, longer cutdowns), additional escrow funds must be deposited before you are required to produce them.

4. Content Creation & Delivery Standards

Creators agree to adhere to high standards of visual craft, storytelling, and delivery:

  • Brief Compliance: Content must follow the key talking points, required visual demonstrations, aspect ratios (9:16 vertical for TikTok / Reels), and technical specs agreed to in the campaign brief.
  • Originality & Licensable Media: All video and audio footage must be originally recorded by you. Background music must be royalty-free or sourced from official platform commercial audio libraries (e.g. TikTok Commercial Music Library).
  • Clean Delivery: Final video drafts must be uploaded in high resolution (minimum 1080p, 30fps) without third-party app watermarks.

5. Product Gifting & Production Clock

When a campaign requires physical product demonstration:

  • 100% Free Product & Shipping: The Brand is solely responsible for shipping the required product to your designated address free of charge. You keep the gifted product unless express written arrangements for return shipping were agreed upfront.
  • Production Timeline Trigger: Your delivery deadline countdown begins ONLY after you confirm physical delivery of the product via the platform. If a shipment is delayed in transit, your deadline automatically extends.

6. Revision Limits & Scope Protection

To protect your time and prevent unfair creative exploitation, all campaigns operate under structured revision rules:

Maximum 2 Minor Revision Rounds

A Brand may request up to two (2) minor edits (e.g., trimming pacing, re-recording a pronunciation, adjusting text overlays) provided the request aligns with the original approved brief. If a brand requests an entirely new creative concept or script that deviates from the approved brief, they must fund a supplementary fee.

7. IP Ownership & Ad Whitelisting Rights

Intellectual property terms on Kandid are balanced and protective:

  • Creator Copyright Retention: You retain underlying copyright ownership of your creative work, persona, and likeness.
  • Digital Usage License: Upon full release of escrow payment, the Brand receives a non-exclusive license to share and host the approved content on their owned digital channels for the agreed period specified in the brief.
  • Ad Whitelisting & Spark Ads: If the brief includes paid ad boosting permissions (Meta Partnership Ads or TikTok Spark Ads), you agree to generate and share authorization codes directly through the Kandid platform. No password sharing is ever required. Boosting is limited strictly to the agreed window (e.g., 30 or 60 days).
  • Creator Portfolio Rights: You always retain the permanent right to showcase the created content in your media kit, personal website, and professional portfolio.

8. Audience Authenticity & Bot Prohibition

Kandid's brand reputation is built on authentic micro-creator reach. By participating, you represent and warrant that:

  • Your followers, views, and engagement metrics are genuine and earned organically.
  • You have not purchased fake followers, bot views, automated comments, or participated in engagement pods.
  • Accounts found using artificial inflation will be permanently removed from Kandid, and pending escrow payments for deceptive deals will be forfeited.

9. FTC Sponsorship Disclosures

You agree to comply with applicable advertising laws and Federal Trade Commission (FTC) guidelines:

  • You must include clear, conspicuous disclosure tags on all posted sponsored content (e.g., `#ad`, `#sponsored`, or the native platform "Paid Partnership" label).
  • Disclosures must be visible immediately on the screen without requiring the user to expand long caption text.
  • Your reviews and opinions must represent your genuine and honest experience with the brand's product.

10. Taxes & Independent Contractor Status

You participate on Kandid as an independent contractor, not an employee, agent, or partner of Kandid or any Brand. You are solely responsible for:

  • Providing accurate tax documentation (e.g., W-9 for US creators, W-8BEN for international creators).
  • Reporting and paying all applicable federal, state, and local income taxes on payouts received.
  • Maintaining your own equipment, video software, lighting, and workspace.

11. Escrow Mediation & Creator Support

If a Brand becomes unresponsive, makes unreasonable demands beyond the agreed brief, or disputes content that meets all original brief specifications, you may escalate the deal directly to Kandid Creator Mediation.

Our internal trust team reviews the brief specifications, uploaded drafts, and revision logs. If your deliverables meet the agreed brief standards, Kandid will release your escrow payout regardless of brand delays.

12. Term & Termination

You may close your creator account on Kandid at any time, provided that you have no active campaigns currently in progress. Outstanding escrow balances for approved work will be disbursed in full upon account closure.
